Terms of Service

Effective date: March 10, 2026

These Terms of Service ("Terms") govern your access to and use of the RevenueVitals platform at revenuevitals.ai (the "Service"), operated by RevenueVitals ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility and Accounts

The Service is intended for healthcare providers, practice administrators, billing managers, and other professionals involved in medical practice revenue management. You must be at least 18 years old and have the authority to bind your organization to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2. The Service

RevenueVitals provides AI-powered revenue analytics for medical practices. The Service connects to your electronic medical records (EMR) system or accepts uploaded billing data, and provides dashboards, reports, and natural language Q&A about your revenue cycle data. The Service is an analytics and decision-support tool. It does not provide medical, legal, financial, or billing advice, and should not be used as the sole basis for clinical or business decisions.

3. Your Data

Ownership

You retain all ownership rights to the data you upload or connect to the Service ("Your Data"). Nothing in these Terms transfers ownership of Your Data to us.

License Grant

By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, copy, process, store, transmit, and display Your Data as necessary to: (a) provide, maintain, and improve the Service; (b) develop new features and products; (c) generate aggregated, anonymized, or de-identified analytics, benchmarks, and insights; (d) train and improve our AI and machine learning models using de-identified data; and (e) comply with applicable laws. This license survives termination of your account with respect to aggregated and de-identified data.

De-identified and Aggregated Data

We may create de-identified, anonymized, or aggregated data from Your Data and from your use of the Service. Such data, which cannot reasonably be used to identify you, your practice, or your patients, is not subject to the restrictions in these Terms and may be used by us for any lawful purpose, including product improvement, research, benchmarking, and commercial purposes, without further obligation to you.

Your Responsibilities

You are responsible for the accuracy and legality of Your Data, and for having all necessary rights and consents to upload or connect Your Data to the Service. If Your Data includes protected health information ("PHI"), you must execute a Business Associate Agreement with us before providing that data. You agree not to upload data that you do not have the right to share.

4. AI-Powered Features

The Service uses artificial intelligence and large language models (LLMs) provided by third parties to analyze data and answer natural language queries. AI-generated outputs are provided "as is" and may contain errors, inaccuracies, or incomplete information. You acknowledge that:

  • AI outputs are informational and should be verified independently before making business decisions.
  • Relevant portions of Your Data may be transmitted to our AI sub-processors (currently Anthropic and OpenAI) via API for query processing.
  • We do not guarantee the accuracy, completeness, or reliability of any AI-generated output.
  • We may use your queries and interaction patterns to improve our query classification and AI systems.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation, including HIPAA.
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service.
  • Interfere with or disrupt the Service or its infrastructure.
  • Access accounts or data belonging to other users.
  • Use the Service to build a competing product or service.
  • Transmit malware, viruses, or other harmful code through the Service.
  • Scrape, crawl, or use automated means to access the Service beyond its intended functionality.

6. Intellectual Property

The Service, including its software, design, features, documentation, AI models (as customized by us), and all related intellectual property, is owned by us or our licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein. All rights not expressly granted are reserved.

7. Fees and Payment

Certain features of the Service require a paid subscription. Fees are described on our pricing page or in a separate order form. Unless otherwise stated: (a) fees are billed in advance on a monthly or annual basis; (b) fees are non-refundable except as required by law; (c) we may change pricing with 30 days' notice; and (d) unpaid accounts may be suspended or terminated.

8. Term and Termination

These Terms are effective when you create an account and continue until terminated. You may terminate your account at any time by contacting us. We may suspend or terminate your access at any time for any reason, including violation of these Terms, with or without notice. Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete Your Data after a 30-day grace period; and (c) provisions that by their nature should survive (including Sections 3, 6, 9, 10, and 11) will survive termination.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE MAKE NO REPRESENTATIONS ABOUT THE ACCURACY OR RELIABILITY OF AI-GENERATED OUTPUTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REVENUEVITALS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless RevenueVitals and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) Your Data, including any claim that Your Data infringes or violates the rights of a third party.

12. HIPAA

If you are a HIPAA-covered entity or business associate, you must execute a Business Associate Agreement ("BAA") with us before uploading or connecting any data that constitutes PHI. Contact privacy@revenuevitals.ai to request a BAA. Without a signed BAA in place, you represent that any data you provide does not include PHI.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association in San Francisco, California. You agree to waive any right to a jury trial or to participate in a class action.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree with any changes, you must stop using the Service.

15. General

These Terms, together with our Privacy Policy and any executed BAA, constitute the entire agreement between you and RevenueVitals regarding the Service. If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in full force. Our failure to enforce any right does not constitute a waiver. You may not assign these Terms without our written consent. We may assign these Terms freely.
